Growth, Merger and Strategic Partnerships in 2005 Position Visiprise for Continued Expansion

ATLANTA, GA - March 2, 2006 Visiprise, Inc., the leader in delivering the power in integrated manufacturing operations solutions, announced the company met its financial and operational goals ending 2005 with a successful merger and stronger industry partnerships that position the company for continued growth.

In 2005, Visiprise experienced 50 percent top-line revenue growth and 50 percent license growth. New customer wins and the install base both contributed significantly to Visiprise’s growth.

“2005 was a milestone year for Visiprise as we met our operational goals and completed the merger with HMS Software,” said Sean McCloskey, president and CEO of Visiprise. “We have successfully aligned our business units by industry, positioning the company for additional expansion in the future. We also strengthened our portfolio with a strategic partnership between Visiprise and SAP AG.”

In December, Visiprise completed its merger with HMS Software, Inc. Operating globally as Visiprise, the new footprint of the merged company provides solutions for integrated manufacturing operations in aerospace and defense, electronics, automotive, and medical device industries. Visiprise also increased total company funding after receiving over $30 million of funding from investors for company expansion.

Partnerships

In 2005, Visiprise signed a collaborative agreement with SAP AG (NYSE: SAP) to jointly market and sell a complete manufacturing application for discrete industries. The combination of SAP mySAP™ ERP, SAP xMII and Visiprise Manufacturing powered by SAP NetWeaver®, offers manufacturers in high tech, automotive, aerospace and other discrete industries a complete solution for top-to-bottom manufacturing management and control. In a step that furthered the collaborative development during 2005, Visiprise Manufacturing earned both "Certified for SAP NetWeaver" status and “Powered by SAP NetWeaver” designation.

Customer Growth

Visiprise continued to expand its customer base in 2005. Its integrated manufacturing operations solution has helped companies manage and control manufacturing operations and improve quality and compliance to several new manufacturing sites within our extensive customer base and new customers including Goodrich Power Systems, Prodrive, AT&S, American Standard, Cyoptics, Elcoteq, Harman Becker, CIPI, and ConMed.
